1. About these Terms

These Terms of Use ("Terms") govern your access to and use of the EstateForge platform, including the website at estateforge.ae and any related applications, dashboards, application programming interfaces, and services we make available (together, the "Platform").

The Platform is operated by:

In these Terms, "we," "us," and "our" refer to LS TEAM DIGITAL SOLUTIONS L.L.C. operating under the "EstateForge" brand. "You" and "your" refer to the person or entity accessing the Platform.

By creating an account, subscribing to a paid plan, enrolling in the Broker Programme, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Platform.

2. Who can use the Platform

You may use the Platform only if you:

  • are at least 18 years old and have full legal capacity to enter into a binding contract under the law of your jurisdiction;
  • are not barred from receiving the Platform under the laws of the UAE or your country of residence; and
  • if you are using the Platform on behalf of an organisation (for example, a brokerage, a developer, or an investment vehicle), are authorised to bind that organisation, in which case "you" means that organisation.

We may refuse, suspend, or terminate access to anyone at our reasonable discretion, including where we believe the Platform is being used in a way that breaches these Terms or applicable law.

3. Accounts

You are responsible for:

  • providing accurate, current, and complete information when you create an account;
  • keeping your login credentials confidential and not sharing them with anyone else;
  • all activity that occurs under your account; and
  • promptly notifying us at legal@estateforge.ae of any unauthorised access or suspected security incident affecting your account.

We may require you to verify your identity or business credentials (for example, a UAE trade licence or RERA broker card) before granting access to certain features.

4. Subscriptions, billing, and refunds

4.1 Plans

We offer paid subscription plans for investor users. Plan features, prices, and billing periods are described on the pricing page in effect at the time you subscribe. Prices are quoted in the currency shown at checkout and are exclusive of value-added tax ("VAT") and other applicable taxes unless stated otherwise.

4.2 Authorisation

When you start a paid subscription, you authorise us (or our payment processor) to charge your nominated payment method for:

  • the recurring subscription fee for each billing period;
  • any applicable taxes; and
  • any other charges you incur on the Platform (for example, add-on modules).

4.3 Auto-renewal

Subscriptions renew automatically at the end of each billing period at the then-current price for the same plan, unless you cancel before the renewal date. You can cancel at any time from your account settings.

4.4 Cancellation and downgrades

When you cancel, your plan remains active until the end of the current billing period; you will not be charged for the following period. Downgrades take effect at the next renewal.

4.5 Refunds

Except where required by applicable UAE consumer-protection law, subscription fees are non-refundable. We may, at our discretion, issue a pro-rated refund if we materially fail to deliver a feature you paid for and we cannot remedy the failure within a reasonable period after you tell us about it. To request a refund, contact billing@estateforge.ae.

4.6 Failed payments

If a payment fails, we may suspend access to paid features until the balance is settled. If a balance remains unpaid for more than 14 days, we may downgrade the account to the free tier or terminate it.

4.7 Price changes

We may change subscription prices. Price changes apply from the next renewal after we give you at least 30 days' notice by email or in the Platform.

5. Broker Programme

5.1 What the Broker Programme is

The Broker Programme lets approved real-estate brokers and brokerages refer paying investor subscribers to the Platform and earn a recurring commission on those subscribers' subscription revenue for as long as the referral remains active.

5.2 Eligibility

To join the Broker Programme you must:

  • hold a valid real-estate broker registration in the UAE (for example, a current RERA card) or operate a brokerage licensed in the UAE;
  • complete the Broker Programme application and accept its specific terms presented at enrolment; and
  • not be prohibited from receiving payments under UAE law or any applicable sanctions regime.

5.3 Commission

The commission rate, attribution window, and minimum-payout threshold in effect at the time of each qualifying transaction will apply. Commission is calculated on net subscription revenue actually collected from the referred subscriber, after taxes, refunds, and chargebacks.

5.4 Anti-fraud

You must not:

  • refer accounts you control directly or indirectly, including accounts opened with your own payment method or your immediate family members';
  • generate referrals through misleading claims, spam, paid advertising on our brand keywords, or any form of cookie-stuffing or attribution manipulation; or
  • attempt to claim commission on subscribers who reached the Platform through a channel you did not originate.

We may withhold, claw back, or forfeit commission, and remove you from the Broker Programme, where we reasonably believe these rules have been breached.

5.5 Tax

You are responsible for the tax treatment of any commission you receive, including VAT registration and invoicing where applicable.

6. Sponsored placements and developer listings

Some content on the Platform is paid placement — for example, sponsored developer listings (Gold, Silver, and Bronze tiers) and featured broker spotlights. Paid placements are visually identified as such. Paid placement does not influence and does not buy a more favourable assessment in any data product, scorecard, methodology, comparable, or analytical output we publish. Editorial integrity is a non-negotiable boundary of these Terms.

7. User content and submissions

You may submit content to the Platform — for example, listing details, reviews, profile information, photos, and messages ("User Content"). You retain ownership of your User Content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt, distribute, and display the User Content for the purpose of operating, improving, and promoting the Platform.

You represent and warrant that:

  • you own or are authorised to submit the User Content and to grant the licence above;
  • the User Content does not infringe any third-party right (including intellectual-property, privacy, and publicity rights); and
  • the User Content does not contain material that is unlawful, defamatory, deceptive, or otherwise prohibited by clause 9 below.

We may remove or refuse User Content at our discretion, including where we believe it breaches these Terms.

8. Property intelligence and data — important

The Platform surfaces market intelligence about UAE real estate — including, without limitation, rent estimates, transaction comparables, developer scorecards, supply and demand indicators, and other analytical signals (together, "Intelligence").

You acknowledge and agree that:

  • The Intelligence is provided for information purposes only. It is not a regulated valuation, not a survey, and not an audit. It does not replace independent legal, financial, tax, or professional valuation advice.
  • The Intelligence is derived from a combination of public records, third-party data sources, user submissions, and our own modelling. While we take reasonable care, we do not warrant that the Intelligence is accurate, complete, current, or fit for any particular purpose, including any investment, lending, or transactional decision.
  • Any decision you make in reliance on the Intelligence — to buy, sell, lease, finance, or hold any property — is made at your own risk and on your own judgement.
  • Nothing on the Platform constitutes financial, investment, legal, tax, or real-estate brokerage advice from us, and we are not your broker, valuer, or financial adviser unless we have expressly agreed to act in that capacity under a separate signed engagement.

Where we display ratings or scorecards about identifiable developers, brokers, or projects, those ratings reflect our methodology applied to the data available to us and are presented as our opinion based on that data.

9. Acceptable use

You must not, and must not permit any third party to:

  • scrape, crawl, or harvest data from the Platform by automated means without our prior written consent;
  • reverse-engineer, decompile, or attempt to derive source code from the Platform, except to the extent this restriction is prohibited by law;
  • resell, sublicense, or republish material from the Platform in a way that competes with the Platform;
  • upload viruses, malware, or any code intended to harm the Platform or its users;
  • use the Platform to defraud, harass, or deceive any person;
  • impersonate any person, broker, or entity, or misrepresent your affiliation with any developer, brokerage, or government body;
  • breach the UAE PDPL or any other applicable data-protection law in your use of the Platform; or
  • use the Platform in any way that breaches UAE law or that would expose us to regulatory or reputational risk.

10. Intellectual property

The Platform, including its software, data products, methodology, brand, logos, content (other than User Content), and design, is owned by LS TEAM DIGITAL SOLUTIONS L.L.C. or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal use in accordance with these Terms. All rights not expressly granted are reserved.

"EstateForge" and the EstateForge logos are our trademarks. You may not use them without our prior written consent, except for factual references in accordance with normal trade practice.

11. Third-party services

The Platform may link to or integrate with third-party websites, services, or data sources. We do not control those services and are not responsible for their content, policies, or practices. Your use of a third-party service is governed by that service's own terms.

12. Beta features

We may make features available on a beta, preview, or experimental basis. Beta features are provided "as is," may change or be discontinued without notice, and are excluded from any service-level commitments.

13. Termination

You may terminate your account at any time by cancelling your subscription and closing the account from your settings.

We may suspend or terminate your access to the Platform, with or without notice:

  • if you materially breach these Terms;
  • if we are required to do so by law or by an order of a competent authority;
  • if your account has been inactive for more than 12 consecutive months; or
  • if continuing to provide the Platform to you would create regulatory, security, or reputational risk to us.

On termination, your right to use the Platform ceases immediately. Clauses that are intended by their nature to survive termination — including clauses 7 (User Content licence), 8 (Intelligence disclaimers), 10 (IP), 14 (Disclaimers), 15 (Liability), 16 (Indemnity), and 19 (Governing law) — will survive.

14. Disclaimers

To the maximum extent permitted by law, the Platform is provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that any Intelligence will produce any particular outcome.

15. Limitation of liability

To the maximum extent permitted by law:

  • We will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, anticipated savings, or data, however caused.
  • Our total aggregate liability arising out of or in connection with these Terms and your use of the Platform, whether in contract, tort (including negligence), or otherwise, is limited to the greater of (a) the fees you paid to us for the Platform in the 12 months immediately preceding the event giving rise to the claim, and (b) AED 1,000.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable UAE law (for example, liability for fraud or for death or personal injury caused by our negligence).

16. Indemnity

You will defend, indemnify, and hold harmless LS TEAM DIGITAL SOLUTIONS L.L.C., its affiliates, and their respective officers, employees, and agents from and against any third-party claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or relating to (a) your User Content, (b) your breach of these Terms or of applicable law, or (c) your participation in the Broker Programme.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will tell you by email or by a notice in the Platform at least 14 days before the change takes effect. If you continue to use the Platform after the change takes effect, you accept the updated Terms. If you do not accept the change, you may stop using the Platform and cancel your subscription before the change takes effect.

18. Communications

By creating an account, you agree to receive service-related communications from us electronically — including by email and through the Platform. You may opt out of marketing communications at any time using the unsubscribe link in those emails or through your account preferences.

19. Governing law and venue

These Terms are governed by the federal laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any non-waivable consumer-protection rights you have in your country of residence.

20. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any plan-specific or Broker Programme terms we present to you, are the entire agreement between you and us regarding the Platform.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and the unenforceable provision will be replaced by an enforceable provision that most closely reflects the intent of the original.
  • No waiver. Our failure to enforce a right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a corporate reorganisation, merger, or sale.
  • Notices. We may give you notice by email to the address on your account or by a notice in the Platform. You must give us notice in writing to legal@estateforge.ae.
  • Force majeure. We are not liable for any delay or failure to perform caused by an event outside our reasonable control.
  • Language. These Terms are drafted in English. If we publish a translation, the English version will prevail in the event of any conflict.
